Terms and Conditions of Use

1. Parties to the Agreement

This agreement is entered into between JaegerFlow (hereinafter "the Provider") and the individual or legal entity contracting its services (hereinafter "the Client"). By hiring any JaegerFlow service, the Client fully accepts these Terms and Conditions.

2. Description of Services

JaegerFlow offers digital services including, but not limited to:

  • Process automation with artificial intelligence
  • Artificial intelligence agents for customer support and sales
  • Official connection to messaging and social platforms (WhatsApp, Meta, Telegram)
  • Development of landing pages, corporate websites, and simple apps
  • Social media management through allied Community Management agencies

The exact scope of each project is defined in the signed brief before starting.

3. Contracting and Payment Conditions

Every project requires prior written agreement (email or signed document) before work begins. The financial conditions are:

  • Lite and Pro projects require a 50% deposit to begin. The remaining 50% is due upon project delivery.
  • Enterprise projects follow a payment schedule agreed in writing.
  • Prices are expressed in USD. International payments are accepted via bank transfer, PayPal, Wise, or other agreed methods.
  • Failure to pay within agreed deadlines activates the Disconnection Protocol described in Clause 7.

4. Limitation of Liability

Under no circumstances shall JaegerFlow be liable for indirect damages, loss of profits, data loss, or consequential damages arising from the use or inability to use the contracted services. JaegerFlow's maximum liability to the Client, for any cause, shall be limited to the total amount the Client has actually paid for the specific service during the three (3) months prior to the event giving rise to the claim.

This limitation applies even if JaegerFlow has been informed of the possibility of such damages. The Client acknowledges that this clause is an essential condition without which JaegerFlow would not provide the service.

5. Exemption for Third-Party Tool Failures

JaegerFlow builds its systems on third-party platforms (artificial intelligence providers, messaging providers such as Meta and WhatsApp, hosting and content-delivery providers, and automation providers, among others). JaegerFlow does not control the availability, policy changes, or outages of said providers.

JaegerFlow no asume responsabilidad financiera si las siguientes plataformas sufren caídas o interrupciones:

  • Meta / WhatsApp
  • Proveedores de modelos de inteligencia artificial
  • Plataformas de automatización y de atención al cliente
  • Proveedores de alojamiento y de red de entrega de contenidos
  • Cualquier otro servicio externo integrado

In case of downtime of an external service, JaegerFlow will notify the client and seek alternatives.

7. Disconnection Protocol (Kill Switch)

JaegerFlow reserves the right to suspend or shut down the Client's active systems, with prior notice, in the following cases:

  • Non-payment of any invoice more than 7 days overdue
  • Use of the system for illegal activities, mass spam, or violation of integrated platform terms
  • Express cancellation request by the Client
  • Force majeure preventing technical continuity of the service

Service suspension for the above reasons does not entitle the Client to a refund of amounts already paid and does not constitute a breach of contract by JaegerFlow. The Client expressly waives any claim for damages arising from such suspension.

8. Data Management and Privacy

Data Controller

El cliente es el responsable de los datos que introduce en los sistemas configurados por JaegerFlow.

Data Processor

JaegerFlow actúa como procesador técnico. Notificará al cliente en un máximo de 72 horas ante cualquier brecha de seguridad detectada.

Infrastructure and Data Hosting

Data managed through our services is hosted on a virtual private server (VPS) located within the European Union. Processing is carried out in accordance with the General Data Protection Regulation (GDPR).

  • VPS hosted in the European Union.
  • Data processing in accordance with the GDPR.
  • Third-party providers integrated by the client (e.g. Meta or AI models) process data under their own policies.

9. Intellectual Property

Upon full payment of the project, the Client acquires usage rights to the final deliverable (code, design, automation flows). JaegerFlow transfers these usage rights to the Client upon delivery and full payment.

JaegerFlow reserves the right to use internally developed frameworks, proprietary libraries, methodologies, and reusable components, which are not exclusive to any particular client. Portfolio references and generic use cases may be referenced by JaegerFlow for commercial purposes without disclosing confidential Client information.
